Registered Agent

A registered agent is a person or company designated to receive legal documents, tax notices, and official correspondence on behalf of a business entity in a particular state.


Why It Matters

Every entity formed in Delaware (or any state) must maintain a registered agent in that state. If your fund, GP, and management company are all Delaware entities, each one needs a registered agent. Most fund managers use a commercial registered agent service rather than maintaining a physical presence in the state.
