Schedule D is the section of Form ADV where you report detailed information about each private fund you advise. It is attached to Part 1A and is required for both RIAs and ERAs. Each fund gets its own Schedule D entry.
For each fund, you report the fund's legal name, type (VC, PE, hedge fund, or other), gross and net asset value, number of investors, and key service providers (auditor, prime broker, custodian, administrator). You also report the fund's reliance on Section 3(c)(1) or 3(c)(7) of the Investment Company Act and identify the fund's legal structure (LP, LLC, etc.).
Schedule D is where ERAs spend most of their filing time. The Part 1A items are mostly short selections, but Schedule D requires current financial data and accurate service provider information for every fund. If you manage multiple SPVs, co-investment vehicles, or parallel structures, each one requires its own entry. Keep your fund data organized throughout the year so you are not scrambling at annual amendment time.
